Seller Agreement

What this is

This is a supply arrangement: you supply physical products for Khalala to list, sell and fulfil to customers, including through Khalala Stores operated by independent Store Owners, in exchange for a share of each unit's sale price once it is actually sold. You are supplying stock for Khalala to sell on these terms; you are not, merely by signing this agreement, operating a Khalala Store or becoming entitled to a Store Owner margin.

Annual Product Listing & Catalogue Fee

Khalala charges an annual Product Listing & Catalogue Fee of R500 per year for each block of up to 5 approved products maintained in Khalala's catalogue for the seller, rounded up to the nearest whole block. For example: up to 5 approved products is 1 block (R500/year); 6 products is 2 blocks (R1,000/year); 20 products is 4 blocks (R2,000/year). There is no maximum number of blocks a seller may hold.

The fee for a block covers a 12-month period beginning when that block is first paid for, or when its annual renewal takes effect. The fee covers catalogue capacity, review and administration and does not guarantee that any product will be listed, purchased, or generate sales.

Renewal is subject to Khalala's annual catalogue review, which may consider sales activity, customer interest, product availability, fulfilment performance, and continued suitability for the catalogue. Payment of a renewal fee does not guarantee continued listing, and Khalala may decline to renew or may discontinue products that are inactive, unavailable, repeatedly problematic, or no longer commercially suitable. If a block's renewal payment fails, Khalala may correspondingly reduce the seller's active listing capacity and unlist the most recently added products in excess of the seller's remaining paid capacity.

How you are paid

Khalala does not purchase your stock upfront. Once a product is approved and listed, Khalala offers it for sale to customers — through Khalala's own storefront and through Khalala Store Owner storefronts — in the ordinary course of its retail business. For each unit of your product actually sold to a customer, you are paid a share of that unit's sale price equal to 100% minus Khalala's agreed margin on that product.

Khalala's margin on any given product is agreed individually and is never less than 30% of the sale price. There is no upper limit on Khalala's margin — a higher margin may be agreed for a particular product based on factors such as volume, category and demand.

How this currently works, in practice

At present, the online enquiry form is only a first step — an enquiry, not itself a binding agreement or a payment. Once a seller submits an enquiry and is approved, Khalala invoices the seller for the Product Listing & Catalogue Fee corresponding to the number of products the seller intends to list, agrees the applicable margin for each product, and arranges delivery of stock into Khalala's fulfilment operation. Products only become available for sale, and only begin earning the seller anything, once this process is complete and Khalala lists them.

Product standards

Products supplied must be genuine, safe, legally compliant, accurately described and fit for their intended purpose, and the seller must have full legal right to sell them. The seller is responsible for the accuracy of product information supplied to Khalala, including ingredients, warnings, origin, authenticity, labelling and safety information where applicable.

The seller must promptly notify Khalala of any known or suspected safety issue, recall, counterfeit concern, regulatory non-compliance or material defect affecting supplied goods, and must reasonably cooperate with investigations, recalls and consumer remedies. Nothing in this agreement transfers away any statutory liability that applicable law places on a producer, importer, distributor or retailer.

To the extent permitted by law, the seller is responsible for loss reasonably suffered by Khalala because information supplied by the seller was materially false or misleading, or because the seller knowingly supplied counterfeit, unlawfully marketed or non-compliant goods. This does not exclude liability that cannot lawfully be limited or transferred.

Ownership and marketing

The seller retains ownership of its brand and intellectual property. While a product is supplied to or listed by Khalala, the seller grants Khalala a non-exclusive right to photograph, reproduce supplied product content, describe, advertise and market the product through Khalala and Khalala Store Owner storefronts for the purpose of resale.

No exclusivity, no obligation

Submitting products does not create any exclusivity arrangement — the seller remains free to sell the same products elsewhere, unless the parties separately agree otherwise in writing. Khalala may decline to list any product, or discontinue restocking a previously listed product, at its discretion.

Payment terms

Amounts owed to you accrue as your products are sold, based on the margin agreed for each product. To allow for the standard order-cancellation window, each sale becomes payable 7 days after the customer's order is placed. Payment runs twice a month, on the 7th and 21st (or the following Monday if either date falls on a weekend), by real-time bank transfer to your verified South African bank account. Bank details are validated before any payment is made, and confirmed by a one-time code sent to Khalala at the time of each transfer.

If an order is cancelled or refunded before the 7-day window elapses, the corresponding amount does not become payable and is removed from what is owed to the seller for that sale.

Term and termination

Either party may end this arrangement at any time. Ending the arrangement does not affect any products already sold by Khalala, amounts already accrued and payable for units sold before the arrangement ended, or any obligations that arose before the arrangement ended.
